These Terms and Conditions (“Terms”) govern the supply of signage design, fabrication, and installation services by Charisma Design (“we”, “us”, “our”) to our customers (“you”, “the Client”). By accepting a quotation or placing an order, you agree to be bound by these Terms.


1. Definitions

“Services” means the design, fabrication, supply, and/or installation of signage and related products as described in our quotation or order confirmation.

“Goods” means the physical signage products supplied, including but not limited to shopfront signs, illuminated signs, 3D lettering, exterior building signs, and printed materials.

“Quotation” means our written proposal setting out the scope, specification, price, and timeline for the Services.

“Order” means your written acceptance of our Quotation, whether by email, signed quotation, or purchase order.


2. Quotations and orders

2.1 Quotations are valid for 30 days from the date issued unless stated otherwise. After this period, prices and lead times are subject to revision.

2.2 Quotations are based on the information you provide. If site conditions, specifications, or scope differ from what was described, we reserve the right to adjust the price and timeline.

2.3 An Order is binding once we issue a written confirmation. Verbal agreements are not binding until confirmed in writing.

2.4 Quotations exclude any third-party fees (planning permission, landlord consent, scaffolding, traffic management, MWEP hire) unless explicitly listed.


3. Pricing and payment

3.1 All prices are quoted in Euro and are exclusive of VAT unless stated otherwise. VAT is charged at the prevailing Irish rate.

3.2 Deposit: A deposit of 50% of the total order value is required before work commences. Production does not begin until the deposit is received and cleared.

3.3 Balance: The remaining 50% is due on completion of installation, or before delivery of Goods if installation is not part of the Order. Payment is due within 14 days of invoice date unless otherwise agreed in writing.

3.4 Larger projects (over €10,000) may be subject to staged payment milestones agreed in writing at the time of Order.

3.5 Late payment: Overdue invoices accrue interest at the statutory rate under the European Communities (Late Payment in Commercial Transactions) Regulations. We reserve the right to suspend further work, withhold installation, or pursue recovery of outstanding amounts.

3.6 Payment methods accepted: bank transfer (preferred), credit/debit card. Cash payments are accepted at our discretion for smaller orders.


4. Design and approval

4.1 Where design services are part of the Order, we will provide visual mockups for your approval before production begins.

4.2 You are responsible for reviewing all designs carefully, including spelling, dimensions, colours, and brand elements. Once you provide written approval, we proceed to production based on the approved artwork.

4.3 Changes requested after written approval may incur additional costs and delay the agreed timeline.

4.4 If you supply your own artwork, you confirm that you own or have the right to use all elements (logos, fonts, images, copy). You indemnify us against any third-party intellectual property claims arising from artwork you supply.

4.5 We retain copyright on all original designs, concepts, and artwork created by us. You receive a license to use the final approved artwork for the specific signage purpose ordered.


5. Lead times and delivery

5.1 Lead times quoted are estimates based on typical production conditions and material availability. We aim to meet quoted timelines but do not guarantee specific delivery or installation dates unless explicitly stated.

5.2 We are not liable for delays caused by:

  • – Late approval of designs by the Client
  • – Late payment of deposit
  • – Material supply chain disruption
  • – Adverse weather (for external installations)
  • – Site access issues
  • – Third-party delays (planning permission, landlord consent, scaffolding contractors)
  • – Force majeure events


5.3 If a delay is caused by us, we will notify you and agree a revised timeline. We are not liable for consequential losses (e.g., delayed shop opening, lost trading days) arising from production delays.


6. Installation

6.1 Where installation is included in the Order, you are responsible for ensuring the site is ready, accessible, and safe for our installation team on the agreed date.

6.2 You must obtain all necessary permissions before installation, including:

  • – Planning permission (where required)
  • – Landlord consent
  • – Building management approval
  • – Permission to drill, fix, or attach to the building structure


6.3 We are not responsible for verifying planning permission or landlord consent. If installation is prevented or reversed due to lack of permission, the full Order value remains payable.

6.4 If our installation team arrives at the agreed time and is unable to install due to site issues (no access, scaffolding not in place, building not ready), an abortive call-out fee will apply.

6.5 We carry public liability insurance for installation work. Details available on request.


7. Warranty and defects

7.1 We warrant that Goods will be free from manufacturing defects for 12 months from the date of installation or delivery (whichever applies).

7.2 The warranty covers materials and workmanship under normal use. It does not cover:

  • – Damage caused by accidents, vandalism, or third parties
  • – Damage from extreme weather, storms, or environmental events
  • – Damage from improper cleaning or unauthorised modifications
  • – Normal fading of vinyl, paint, or printed materials due to UV exposure
  • – Component failure in illuminated signs caused by power surges or third-party electrical work
  • – Wear and tear


7.3 Defective Goods will be repaired or replaced at our discretion. Labour and call-out costs for repairs outside the warranty period are chargeable.

7.4 Claims must be made in writing within 14 days of the defect being discovered.


8. Title and risk

8.1 Risk in Goods passes to you on delivery to your premises or the installation site.

8.2 Title in Goods remains with us until the full Order value, including any outstanding amounts on prior invoices, has been paid in cleared funds.

8.3 Until title passes, you must not modify, sell, or attach the Goods in a way that prevents their removal. We reserve the right to enter the installation site and remove unpaid Goods if payment becomes seriously overdue.


9. Cancellation

9.1 Once an Order has been confirmed, cancellation is subject to charges based on work completed:

  • Before production begins: deposit is non-refundable (covers design and project setup costs)
  • During production: full cost of materials and labour incurred to date is payable, plus 25% of remaining Order value
  • After production complete: full Order value is payable

9.2 Custom-fabricated Goods cannot be returned or refunded once production has begun, as they cannot be resold.


10. Liability

10.1 Nothing in these Terms limits our liability for:

  • – Death or personal injury caused by our negligence
  • – Fraud or fraudulent misrepresentation
  • – Any other liability that cannot be limited or excluded under Irish law


10.2 Subject to clause 10.1, our total liability for any claim arising from an Order is limited to the total amount paid by you for that specific Order.

10.3 We are not liable for:

– Indirect, consequential, or special losses
– Loss of profit, revenue, or business opportunity
– Loss arising from delays in production or installation
– Damage to existing site features (paint, render, fixings) where installation requires drilling or attachment to the building, beyond our reasonable control

10.4 We carry public liability insurance and employer’s liability insurance. Certificates of insurance are available on request.


11. Force majeure

We are not liable for any failure or delay in performing our obligations caused by events beyond our reasonable control, including but not limited to: natural disasters, war, terrorism, pandemic, government action, supply chain failures, transport disruption, or industrial action.


12. Data protection

We process personal data (such as your name, email, phone, and address) in accordance with our Privacy Policy and the General Data Protection Regulation. By placing an Order, you consent to this processing.


13. Intellectual property

13.1 All designs, concepts, sketches, mockups, and artwork created by us remain our intellectual property unless otherwise agreed in writing.

13.2 On full payment, you receive a non-exclusive license to use the final approved design for the purpose for which it was commissioned.

13.3 We reserve the right to photograph completed installations and use the images for our portfolio, website, and marketing purposes, unless you specifically request otherwise in writing before installation.


14. Confidentiality

Both parties agree to keep confidential any non-public information shared during the course of an Order, including designs, pricing, and business plans, except where disclosure is required by law.


15. Disputes and governing law

15.1 These Terms are governed by Irish law.

15.2 Any disputes shall be subject to the exclusive jurisdiction of the Irish courts.

15.3 Before commencing legal proceedings, both parties agree to attempt resolution through good-faith discussion. We aim to resolve any complaint within 14 days of receiving it in writing.


16. General

16.1 If any clause of these Terms is found to be unenforceable, the remainder of the Terms remains in full force.

16.2 Failure to enforce any right under these Terms does not constitute a waiver of that right.

16.3 These Terms, together with the Quotation and any written agreement between us, constitute the entire agreement between the parties.

16.4 We may update these Terms from time to time. The version in effect at the date of your Order applies to that Order.
